Terms of Use

The conditions governing access to and use of MatrixAI Studio.

1. Acceptance of terms

By accessing or using MatrixAI Studio, you agree to be bound by these terms of use. If you disagree with any of them, you must not use the service. Continued use of the platform after any modification of the terms constitutes acceptance of those changes.

2. Service description

MatrixAI Studio is a declarative machine learning platform that allows users to create, train, audit and serve artificial intelligence models on their own machines, using a proprietary declarative language (.mxai and .mxtrain files). The platform includes a Studio interface for non-technical users and an Expert mode Workbench for developers.

3. Licence, payment, downloads and refunds

The MatrixAI engine is open source under the AGPL licence and costs nothing. The MatrixAI Studio package is a one-time payment of €2.00, processed by Stripe. There is no subscription and no recurring charge.

That payment grants a licence with the following limits, which are the ones the system actually enforces:

  • Three machines. The licence activates on up to three distinct machines. Each installation takes one slot, identified by a machine fingerprint.
  • Three downloads. The download page allows up to three downloads of the package per account.

Refunds. You may request a full refund within 14 days of purchase, unless you have already started your first download. You accept that condition at the moment you start the download, and your licence remains valid in the meantime. To request a refund, write to us through the contact page from the address you used to buy.

If you exceed the machine or download limits, or need them reset, contact us: these limits exist to keep a personal licence personal, not to trap anyone.

4. Acceptable use and prohibited activities

It is strictly prohibited to use MatrixAI Studio to:

  • Train models intended to generate illegal, discriminatory, hateful or violence-inciting content.
  • Build automated decision systems that illegally discriminate based on origin, gender, religion, sexual orientation or other protected characteristics.
  • Attempt to bypass the framework's verification, audit or traceability systems.
  • Carry out denial-of-service attacks, inject malicious code or take any action that compromises the integrity of the platform.
  • Impersonate other users or entities.
  • Train models using illegally obtained data or data that infringes third-party intellectual property rights.
  • Use the service for fraudulent activities, scams or schemes that harm third parties.
  • Export models or artefacts generated on the platform for uses that violate applicable export laws or AI regulations.

Violation of these prohibitions will result in immediate account suspension and, where appropriate, referral to competent authorities.

5. Ownership of models and artefacts

4.1 User ownership

Models, datasets, .mxai and .mxtrain artefacts that the user creates or uploads to the platform belong to the user. MatrixAI Studio acquires no rights over them.

4.2 Operating licence

By uploading or generating artefacts on the platform, the user grants MatrixAI Studio a limited, non-exclusive and revocable licence to keep them: the Studio runs entirely on your machine and your models, datasets and training traces never reach our servers. What we do store is limited to your account (email, role, download counter) and, if you buy a licence, its activation records.

4.3 Responsibility for training data

The user is solely responsible for ensuring that data used to train models is owned by them or that they have the necessary permissions to use it. MatrixAI Studio does not verify the origin of datasets and accepts no liability for intellectual property infringements arising from the use of unauthorised data.

4.4 Indemnification

The user agrees to indemnify and hold MatrixAI Studio harmless from any claims, damages or legal costs arising from models or data introduced by the user to the platform.

6. Real actions and production environments

Actions available in the Studio interface are simulated by default. No action produces real effects on external systems (sending emails, modifying databases, calling third-party APIs) unless the user explicitly configures a production environment under their own responsibility.

MatrixAI Studio clearly indicates when an action is simulated, blocked or pending approval. The user is solely responsible for the consequences of enabling real actions in their infrastructure.

7. Moderation and compliance

We reserve the right to review, suspend or remove accounts or artefacts that violate these terms, without prior notice and at our sole discretion.

We cooperate fully with judicial, law enforcement and regulatory authorities, and will provide user information when legally required.

8. Limitation of liability

7.1 "As is" service

MatrixAI Studio is provided "as is", without warranties of any kind, express or implied, including but not limited to warranties of fitness for a particular purpose or freedom from errors.

7.2 Exclusion of damages

MatrixAI Studio shall not be liable for any direct, indirect, incidental, special or consequential damages arising from use of the service, including data loss, loss of profit, incorrect decisions made from generated models or service interruptions.

7.3 Liability for production models

Decisions made in production using models trained with MatrixAI Studio are the exclusive responsibility of the user or organisation operating them. The audit system facilitates traceability but does not replace human supervision or sector-specific regulatory validation.

7.4 Maximum liability

MatrixAI Studio's total liability shall not exceed the amount paid by the user in the twelve months preceding the event giving rise to the claim.

7.5 Jurisdiction

These terms are governed by Spanish and European Union law. The courts of Spain shall have exclusive jurisdiction over any dispute arising from these terms.

9. Termination

8.1 By the user

The user may delete their account at any time from the platform settings.

8.2 By MatrixAI Studio

We may suspend or delete accounts for violation of these terms, with immediate effect in serious cases, or with 30 days' notice in other cases.

8.3 Data after termination

After account deletion, personal data is erased within 30 days. Public or shared artefacts may be retained as agreed.

8.4 Survival

The limitation of liability, indemnification and jurisdiction clauses remain in force after account termination.

10. Changes to terms

We reserve the right to modify these terms at any time. When changes are substantial, we will give at least 15 days' notice by email or via a notice on the platform. Continued use of the service after the changes take effect constitutes acceptance of the new terms.
